Consulting Engagements
If you engage Chanua Consulting & Advisory, LLC for paid consulting services, those services are governed by a separate written service agreement. Liability limitations, caps, and exclusions for consulting services will be specified in that separate agreement, not in these Website Terms of Service.

Entire Agreement and Integration
These Terms of Service, together with our Privacy Policy, constitute the entire agreement regarding your use of this Website and supersede all prior agreements, communications, and understandings regarding Website use.
For consulting services, a separate written service agreement will govern the consulting relationship, fees, scope, deliverables, and liability. The Website Terms of Service do not apply to consulting engagements. If there is any conflict between these Website Terms and a separate consulting service agreement, the consulting service agreement controls.

We reserve the right to modify these Terms at any time without prior notice.
Updated Terms will be posted on this page with a revised effective date. Your continued use of the Website after changes are posted constitutes your acceptance of the revised Terms.

Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to conflict-of-law principles.

Severability
If any provision of these Terms is determined to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision will be severed.
The remaining provisions shall remain in full force and effect. If a material provision (such as the liability limitation) is voided, the parties agree that a reasonable limitation of liability will be applied as permitted by law, rather than allowing unlimited liability.
